Terms of Service

1. Scope

These Terms of Service ("Terms") govern the use of the PackMate Shopify app, provided by Valerian Huber, Dahlienweg 11, 83109 Großkarolinenfeld, Germany ("we", "us"). PackMate is offered exclusively to businesses (B2B); these Terms do not apply to consumers within the meaning of § 13 BGB (German Civil Code).

2. Service Description

PackMate provides an intelligent packaging calculator as a Shopify app. Store owners can calculate optimal box sizes for orders, visualize packing in 3D, manage product dimensions via Shopify metafields, generate shipping labels, run multi-package split optimization, record packaging volumes for regulatory reporting, and access an analytics dashboard. All plans include the same functionality. Plans differ in three respects: the number of pack calculations per month, how long pack history is retained (7 days on Free up to 3 years on Business), and support priority. Real-time carrier rates via your own carrier accounts require a Custom plan, as they depend on your own contracts with the carrier.

3. Plans and Billing

Billing is processed exclusively through Shopify. Plans are listed in the Shopify App Store, the subscription is entered into there, and Shopify charges the amount via the store's invoice. We do not collect payment details ourselves. Current plans:

  • Free — 0 USD / month, 20 pack calculations per month
  • Basic — 9 USD / month, 250 pack calculations per month
  • Pro — 29 USD / month, 1,000 pack calculations per month
  • Business — 59 USD / month, 2,500 pack calculations per month
  • Custom — individually negotiated, no volume cap (for shops above the Business cap; additionally real-time carrier rates via your own carrier accounts)

The price shown in the Shopify App Store for the selected plan at the time of subscription is the one that applies. Billing is in US dollars (USD); Shopify may convert the amount into another currency for display. Prices are net of any applicable VAT.

Where a plan is listed with a free trial in the Shopify App Store, that trial applies for the duration stated there. We do not bill overage automatically: once the monthly pack calculation allowance is reached, further calculations are not performed until the next billing cycle or a plan change. Orders already recorded can be added retroactively after an upgrade using the reconciliation feature.

4. Free Trial and Cancellation

Subscriptions can be cancelled at any time via Shopify Admin → Apps → PackMate → Manage. Cancellation takes effect at the end of the current billing period. Pro-rated refunds are at our discretion; contact help@packmate.shop.

5. Acceptable Use

You agree not to:

  • Use the app for any unlawful purpose or in violation of these Terms
  • Reverse-engineer, decompile, or attempt to extract source code
  • Resell or redistribute the service without our written consent
  • Send spam, abusive content, or manipulated data through PackMate's API
  • Use the API in a way that materially impacts service availability for other users

We reserve the right to suspend or terminate access in case of material breach.

6. Intellectual Property

PackMate, including its source code, design, branding, and documentation, is owned by us. You receive a non-exclusive, non-transferable license to use the app for the duration of your active subscription. Your data — products, dimensions, orders, packing calculations — remains yours.

7. Service Availability and Disclaimers

We aim for high availability but provide no guarantee of uninterrupted service. The app is provided "as is" without warranty of merchantability or fitness for a particular purpose. Packaging calculations are recommendations; the merchant remains responsible for the final packaging decision and for compliance with carrier and regulatory requirements.

8. Limitation of Liability

Our liability is limited to intent and gross negligence. We accept no liability for indirect damages, lost profits, or consequential losses arising from inaccurate packaging calculations, shipping cost estimates, mis-labeled shipments, or service outages. For paid plans, the maximum aggregate liability per incident is limited to the fees paid in the 12 months preceding the incident.

9. Data Protection

Data handling is governed by our Privacy Policy. A Data Processing Agreement (DPA) is available on request.

10. Changes to These Terms

We may update these Terms; material changes will be announced in advance via the app dashboard or email. Continued use after the effective date constitutes acceptance.

11. Governing Law and Jurisdiction

These Terms are governed by German law, excluding the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction is Rosenheim, Germany. This jurisdiction clause applies between merchants (B2B) only.

12. Severability

Should any provision of these Terms be invalid, the remaining provisions remain unaffected. The invalid provision shall be replaced by a valid one that comes closest to the economic intent.
